This document (“Terms”) is an electronic record in terms of the Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
This document is published in accordance with the provisions of Rule 3 (1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of domain name/ website wondermart.com (“Website”), including the related mobile application (hereinafter referred to as “Platform”).
This document is a legally binding agreement between Clickfix Cash and Carry Private Limited, a company incorporated under the Companies Act, 2013 with its registered office at 1st Floor of South Wing “TWA - SJR - The Hub” situated at Survey Number 8, 2 & 9, Sarjapur Main Road, Sarjapur - Marathahalli Road, Bellandur, Bengaluru, Karnataka, PIN 560102, India (including its subsidiaries, group companies , and affiliates, as may also be referred to as “we”, “us”, “our” or “Clickfix” hereinafter, as the context requires) and Buyer (as defined below) or a Seller (as defined below) (acting by itself or through its representatives, as the case may be, referred to as “you”, “your”, “User” hereinafter) who accesses or uses or transacts on wondermart.com website and Wondermart mobile application ( “Platform”).
The Platform facilitates the purchase of products by Buyers from authorised Sellers listed on the Platform. The Platform acts solely as an intermediary to enable transactions between Buyers and Sellers, and does not itself sell, own, control, or in any manner guarantee any of the Products made available for sale by the Sellers
By accessing or signing up to the Platform and/or Services (as defined below), you agree to be bound by these Terms, any additional terms (including pertaining to specific offers, promotions, discounts, etc), conditions, guidelines and rules that we provide to you, including in connection with your use of the Services that we may offer or make available to you, other rules and policies of the Platform (including but not limited to Shipment Policy, Undelivered Shipment Policy, Product Listing Policy, Privacy Policy, IP Infringement Policy, and Anti-Counterfeiting Policy) (collectively referred to as “Wondermart’s Policies”) as may be amended, modified or replaced from time to time. Please read them carefully.
We retain an unconditional right to modify or amend the Platform Policies. We, at any time, have the right to add to and/or alter, modify, change or vary all or any of the Terms or to replace wholly or in part, the contests, offers, schemes, promotions etc. with another contest, offer, scheme, promotion etc. or to withdraw it altogether. User can determine when these Terms were last modified by referring to the “Last Updated” legend above. User can access the latest version of these Terms at any given time on our Platform. User should regularly review the Terms on the Platform. User’s continued use of and access to the Platform shall be User’s consent to such changes. In the event the modified Terms are not acceptable to User, User should discontinue accessing the Platform.
Upon your request in writing, we may also make these Terms and Privacy Policy available to you in one of the languages specified in the Seventh Schedule of the Constitution of India. You may send such request to us on [email protected]. Upon receipt of such request, we will share the Terms in the language so opted by you within seven (7) working days. In case of any discrepancy between the English version of the Terms and version in language so opted by you, the English version shall prevail.
PLEASE READ THE TERMS CAREFULLY BEFORE PROCEEDING IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM OR THE SERVICES PROVIDED BY THE PLATFORM OR CLICKFIX.
- DEFINITIONS
For the purposes of this document, the following capitalised terms shall have the following meaning:
- “Applicable Law(s)” shall mean any statute, national, state, provincial, local, municipal, foreign, international, multinational or other law, treaty, code, enactment, regulation, ordinance, rule, judgment, notification, direction, order, decree, bye-law, approval of any Governmental Authority, directive, guideline, policy, requirement or other governmental restriction or any similar form of decision of or determination by, or any interpretation or administration having the force of law of any of the foregoing by any Governmental Authority having jurisdiction over the matter in question, whether in effect as of the date of this Terms or at any time thereafter.
- “Business Day” shall mean Monday to Saturday, 10:00 am to 07:00 pm and shall not include such days on which the banking institutions in India are authorized or obligated under the Applicable Laws to remain closed;
- “Buyer” shall mean any individual consumer or end-user, being a natural person of legal age and capacity to contract under Applicable Laws, who accesses, uses, or transacts on the Platform, avails Services, or purchases Products from the authorised Sellers listed on the Platform, solely for personal use, personal consumption, or household purposes, and not for any commercial, resale, or business purpose.
- “Consignee” shall mean the Buyer or any person named in the Delivery Note or his/her representatives that takes the delivery of Shipment being transported.
- “Dangerous Goods” includes products that are or may become dangerous, hazardous, inflammable, radioactive, or of damaging nature including products liable to taint or affect other products and products likely to harbor or encourage vermin or other pests; provided however that, household insecticide products shall not constitute Dangerous Goods.
- “Delivery Note” shall mean the waybill containing the essential information (as determined by us on our sole discretion) required for the performance of the logistics services, including name, delivery address and contact number of the Buyer or the designated recipient of the Shipment, description of the contents of the Shipment (if applicable) and Cash on Delivery details (if applicable).

“Governmental Authority” shall mean
any:
- government (central, federal, state or otherwise) or sovereign state;
- any regulatory bodies, including the RBI and the Securities and Exchange Board of India;
- any governmental agency, semi-governmental or judicial or quasi-judicial or administrative entity, department or authority, or any political subdivision thereof; or
- international organization, agency or authority,
- including, without limitation, any stock exchange or any self-regulatory organization, established under any Applicable Law (to the extent acting in its capacity as a government entity and not as a contracting or private party);
- “including” herein shall always mean “including, without limitation”.
- “Order(s)” shall mean order placed by Buyer for purchasing Products / Services on the Platform.
- “Order Detail(s)” shall mean the details relating to the Order, including without limitation, the description of Products, details of Clickfix, Seller and the Buyer, date of order placement, total amount payable by the Buyer, delivery date, mode of payment, unique order number (AWB number) etc.
- “Payment and Settlement Services” shall mean remittance and settlement of any and all payments collected by Clickfix from the Buyer or third party paying on behalf of the Buyer, pursuant to an order placed by a Buyer on the Platform, to the designated bank accounts of the Seller or any third party upon receipt of instructions from the Seller.
- “Platform Content” shall mean any information, text, images, graphics, video clips, sound, directories, files, databases or listings, etc. available on or through the Platform;
- “Product(s)” shall mean any and all goods, items, articles, or merchandise of any category, nature, or description (other than Dangerous Goods, as defined under Applicable Laws) that are lawfully listed, offered for sale, and sold by a Seller through the Platform to Buyers.
- “Sales and Distribution Support Services” or “S&D Services” shall mean to include the Standard Platform Services, Payment and Settlement Services, Standard Warehousing Services, goods handling services and other allied services that may be provided by Clickfix to support supply chain.
- “Seller” shall mean any third-party entity, person, or business duly registered and authorised to list, market, and sell its products on the Platform in accordance with Applicable Laws and the terms agreed with Clickfix.

“Services” shall mean services to
facilitate purchase of Products by Buyers from Sellers listed on the
Platform, including but not limited to:
- enabling Buyers to browse, search, and discover Products offered by Sellers and place orders for such Products;
- facilitating the sale and purchase transactions of Products between Buyers and Sellers;
- providing order management, shipment tracking, delivery coordination, and related logistics support, whether directly or through third-party service providers;
- processing payments made by Buyers for Products purchased on the Platform, including payments facilitated through integrated third-party payment gateways or service providers;
- providing customer support services in relation to orders placed through the Platform; and/or
- introducing or providing any other ancillary or value-added services that may enhance the user’s experience and ease of transactions on the Platform.
- “Shipment(s) / Consignment(s)” means all Products (excluding documents) that travel under one Delivery Note and which may be carried by any means we choose in our discretion, including air, road or any other carrier.
- “Standard Platform Services” shall mean the use and access of the Platform by the Seller, which includes but not limited to creation, display and updating of product listings and subsequent sale transaction by the Seller to the Buyer, in accordance with this Terms.
- “Standard Warehousing Services” shall include but not be limited to: (a) arranging for the storage of Products of the Seller; (b) handling Products of the Seller at warehouse(s); (c) tertiary packaging of the Products for ease of handling, transportation, and temporary storage of the Products to be shipped to Buyer; (d) performing the administrative task of printing invoices for the Seller; (d) other ancillary services as may be mutually agreed between Clickfix and the Seller; and/or (e) special access to fulfil Orders from own source.
- “TPID” shall mean tampering proof identifier (TPID), affixed on the Shipment.
- “User Content” shall mean any information, content or material of the Buyer that is on the Platform.
- EFFECTIVE DATE
- ELIGIBILITY
Your acceptance of these Terms implies that you have the capacity to enter into a legally binding contract as per the Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including without limitation, minors, un-discharged insolvents, etc. are not eligible to use the Platform. For the purposes of these Terms, the term ‘persons’ shall mean any individual, sole proprietor, firm, company, corporation, government, state or agency of a state or any association, trust, joint venture, consortium or partnership (whether or not having separate legal personality) or any other body corporate duly incorporated under the laws of India.

PROVISION OF SERVICES
- You must register and create an account on the Platform in order to access and use the Services. Clickfix reserves the right, without prior notice, to restrict access to or use of certain Services (or any features within the Services), subject to such conditions as Clickfix may determine in its sole discretion.
- In case you avail services while accessing the Platform, that may be supported and/or provided by third-party service providers (including but not limited to logistics, payment gateways, or customer support). In such cases, your contractual relationship for such specific services will be directly with the relevant third-party service provider, and Clickfix shall not be responsible or liable for any claims, losses, or liabilities arising from your use of such third-party services.
- Users acknowledge and agree that Clickfix may charge commissions, transaction fees, convenience fees, or other applicable charges for access to and use of certain features of the Platform. Any applicable fees or charges shall be communicated to Users in advance and shall be subject to change from time to time at Clickfix’s discretion.
- Users agree and acknowledge that the Services provided by Clickfix are on a best-efforts basis, and Clickfix may engage the services of third-party service providers to facilitate such Services. Clickfix shall not be liable for any failure, delay, interruption, or disruption in providing the Services, including any temporary suspension or permanent discontinuance of the Services, where such failure or delay is attributable to reasons beyond Clickfix’s reasonable control.
- Users shall at all times comply with Applicable Laws and Clickfix’s Policies while availing the Services or transacting on the Platform. Clickfix reserves the right to suspend, restrict, or terminate a User’s access to the Platform and/or Services in the event of any violation of Applicable Laws, breach of these Terms, fraudulent activity, misuse of the Platform, or any activity prejudicial to the interests of Clickfix, Sellers, or other Users.
- Users acknowledge and agree that the Services are being provided on an “as is” and “as available” basis. Services may be interrupted, delayed, suspended, or unavailable at times due to maintenance, system upgrades, technical issues, or reasons beyond Clickfix’s reasonable control. Clickfix reserves the right to suspend or discontinue any Service, at any time, at its sole discretion, without assigning any reason and without liability.
- Clickfix may, at any time and with or without notice, withdraw, terminate, or suspend any part of the Services either with cause (including but not limited to breach of these Terms) or without cause. Termination or suspension of one Service shall not affect the provision or continuation of other Services, arrangements, or agreements that a User may have with Clickfix or Sellers through the Platform.

USER ACCOUNTS AND VERIFICATION OF ACCOUNT
- You must be registered on the Platform to access or avail the Products and Services. While registering the User account on the Platform you will be required to furnish details about you and with respect to your business including without limitation, business name, GSTIN, PAN, TAN, Udyog Aadhaar, address, phone number, geographical location, image of the place of business and/ or any other information that Clickfix may require you to provide.
- You agree and acknowledge that you will transact on the Platform only for your business purposes that is for purchase of Products for further distribution or sale and not for personal use or consumption. Except with Clickfix’s approval, one User may only register one account on the Platform. Clickfix may cancel or terminate an User’s account if Clickfix has reasons to suspect that the User has concurrently registered or is controlling two or more accounts. Further, Clickfix may reject User’s application for registration for any other reason whatsoever, without assigning any reasons to the User.
- A set of User ID and OTP (One Time Password) / password is unique to a single account. Any action triggered on your User account on the Platform or by using the unique OTP will be deemed to have been authorised by you and with your express consent. You shall be solely responsible for maintaining the confidentiality and security of your User ID and password and for all activities that occur under your account. You agree that all activities that occur under your account (including without limitation, posting any company or product information, clicking to accept any terms & conditions or rules, subscribing to or making any payment for any Services, sending emails using the Platform or other communications) will be deemed to have been authorized by you.
- You acknowledge that it is your responsibility to maintain the confidentiality of your account credentials and all activities occurring under your account.
- Clickfix reserves the right to verify, approve, suspend, or reject any account at its discretion, including requesting additional information / documents for verification.
- When you access the Platform, you are electronically communicating with Clickfix. Clickfix may communicate with you by e-mail, SMS, WhatsApp messages or messages through other modes of communication, phone call or by posting notices on the Platform or by sending in-app notifications or any other mode of communication. For contractual purposes, you consent to receive communications (including transactional, promotional and/or commercial messages) in the above manner, from Clickfix with respect to your use of the Platform and it shall be deemed by your continued use of the Platform that you agree and consent to receive any communications from Clickfix.
- You agree and acknowledge that we may directly or through a third-party service provider in accordance with the terms of the Privacy Policy validate the information provided by you on the Platform. You agree to furnish additional information and provide documentary proof as may be requested by us, from time to time, for the purposes of verification of your User account information. If any information provided by you is found to be incorrect or misleading, Clickfix reserves its right to take appropriate steps as set forth under Paragraph 5 of these Terms. For the purposes of verification of your account information, you agree that we may share your information with such third-party service provider in accordance with the terms of the Privacy Policy.

OBLIGATIONS OF USERS

Obligations of Buyers:
- Buyers shall use the Platform solely for the purpose of browsing, ordering, and purchasing Products from Sellers for their personal use, consumption, or household requirements. Buyers shall not purchase Products for purposes of resale, redistribution, commercial exploitation, or any business-related activities, unless expressly permitted in writing by Clickfix;
- Buyers shall ensure that all information provided by them at the time of registration, account creation, placing an order, or otherwise transacting on the Platform including but not limited to name, contact details, email address, delivery address, and payment information is true, complete, accurate, current, and not misleading. Buyers shall promptly update such information in case of any changes. Any loss, delay, or failure in delivery or transaction arising out of inaccurate or false information provided by the Buyer shall be at the Buyer’s sole responsibility;

Obligations of Buyers:
- Buyers shall, at all times, use the Platform and purchase Products in strict compliance with all Applicable Laws, rules, and regulations, including but not limited to laws relating to consumer protection, electronic transactions, data privacy, taxation, and payment regulations; and/ or
- Buyers acknowledge and agree that Clickfix acts solely as an intermediary facilitating transactions between Buyers and Sellers. Buyers further agree that Clickfix does not manufacture, own, sell, produce, supply, control, or guarantee any Products listed on the Platform. Accordingly, all claims, disputes, or issues in relation to the quality, safety, legality, merchantability, fitness for a particular purpose, or performance of Products shall lie directly against the Seller, and not against Clickfix.

Obligation of Seller:
- Sellers shall list, market, and sell only genuine, original, lawful, and non-prohibited Products through the Platform. Sellers shall ensure that the Products offered for sale comply with all Applicable Laws, rules, and regulations, including but not limited to Consumer Protection Act, 2019, Consumer Protection (E-Commerce) Rules, 2020, Legal Metrology (Packaged Commodities) Rules, 2011, Food Safety and Standards (Packaging and Labelling) Regulations, 2011, Consumer Protection Act, 2019, Indian Contract Act, 1872, Sale of Goods Act, 1930, Goods and Services Tax (GST) Laws, and Food Safety and Standards Act, 2006 (FSSAI regulations) and any other industry-specific safety, labelling, packaging, and certification regulations as may be applicable to the Products listed on the Platform. Sellers shall not list or sell any items that are restricted, banned, hazardous, or otherwise prohibited under Applicable Laws or Clickfix’s Policies;
- Sellers shall not list, advertise, promote, or sell counterfeit, fake, imitation, misbranded, refurbished, expired, defective, stolen, damaged, used, or otherwise unlawful or unauthorized Products on the Platform. Any attempt to sell such Products shall constitute a material breach of these Terms and may lead to immediate suspension or termination of the Seller’s account, without prejudice to any other legal remedies available to Clickfix or affected Buyers;
- Sellers shall provide complete, true, accurate, and non-misleading information in respect of the Products listed, including but not limited to Product title, description, images, specifications, features, usage instructions, price, discounts, warranties/guarantees, return/refund policies, and availability. Sellers shall update such information promptly to reflect any changes, discontinuation, or unavailability of Products. Misrepresentation of Products in any form shall be the sole responsibility of the Seller;
- Sellers shall ensure timely acceptance, processing, and fulfilment of all orders placed by Buyers through the Platform. Sellers shall be solely responsible for proper packaging, safe dispatch, and delivery of Products within the timelines communicated to Buyers. Sellers shall further be responsible for all after-sales obligations, including honouring warranties and guarantees, providing customer support, facilitating returns/refunds/exchanges as required under law and/or Clickfix’s Policies, and addressing Buyer grievances in good faith;
- Sellers shall not host, upload, publish, transmit, display, or share any information or content on the Platform that is unlawful, harmful, offensive, defamatory, obscene, pornographic, misleading, fraudulent, or otherwise objectionable. Further, Sellers shall not post or upload any content that infringes upon or violates the intellectual property rights, privacy rights, or proprietary rights of Clickfix, Buyers, or any third party;
- Sellers shall not engage in any conduct or activity that may tarnish, dilute, or otherwise harm the reputation, goodwill, trademarks, or brand image of Clickfix. Sellers shall not misrepresent their relationship or association with Clickfix, nor shall they make any unauthorised representations, warranties, or commitments on behalf of Clickfix;
- Sellers shall at all times strictly comply with all Applicable Laws governing the sale, supply, invoicing, taxation, and delivery of Products, including laws relating to GST or other indirect taxes, consumer rights, advertising, product warranties, and e-commerce regulations. Sellers shall be solely responsible for reporting and payment of all taxes, duties, levies, and charges applicable to the Products sold through the Platform; and/or
- Sellers agree to fully indemnify, defend, and hold harmless Clickfix, its affiliates, group company, officers, employees, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) that may arise out of or in connection with: (a) the Products listed, marketed, or sold by the Seller, (b) any misrepresentation, defect, deficiency, non-compliance, or illegality of such Products, (c) breach of these Terms, Clickfix’s Policies, or Applicable Laws, and/ or negligence, misconduct, or fraud by the Seller, its employees, agents, or representatives.

Other Obligations of the Users
- You agree that (a) you will not copy, reproduce, download, re-publish, sell, distribute or resell any Platform Content, and (b) you will not copy, reproduce, download, compile or otherwise use any Platform Content for the purposes of operating a business that competes with Clickfix, or otherwise commercially exploiting the Platform Content or systematic retrieval of Platform Content from the Platform to create or compile, directly or indirectly, a collection, compilation, database or directory (whether through deep-link, page scrape, robots, spiders, automatic devices or manual processes).
- Clickfix may allow Users access to content, products or services offered by third parties through hyperlinks (in the form of word link, banners, channels or otherwise), API or otherwise to such third parties’ web sites. You are cautioned to read such third party’s terms and conditions and/or privacy policies before using the Platform with respect to such content, products or services that you may avail. You acknowledge that Clickfix has no control over such third parties’ websites and shall not be responsible or liable to anyone for such websites, or any content, products or services made available on such websites.
- You agree not to undertake any action which may undermine the integrity of Clickfix’s feedback system.
- By posting or displaying User Content on the Platform or providing any User Content to Clickfix or our representative(s), you grant perpetual, worldwide, royalty-free, and sub-licensable license to Clickfix to display, transmit, distribute, reproduce, publish, translate, and otherwise use any or all of the User Content in any form, media, or technology now known or not currently known in any manner and for any purpose which may be beneficial to the operation of the Platform, the provision of any Services and/or the business of the User. You confirm and warrant to Clickfix that you have all the rights, power and authority necessary to grant the above license.
- User agrees, undertakes, and confirms that User’s use of Platform shall be strictly governed by the following binding principles:

User shall not host, display, upload, modify, publish, transmit,
store, update or share any information which:
- belongs to another person and to which User does not have any right to;
- is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy including bodily privacy, hateful, racially or ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or unlawfully threatening or unlawfully harassing including but not limited to “indecent representation of women” within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986 or otherwise inconsistent with or contrary to the laws in force;
- is misleading in any way;
- is patently offensive to the online community, such as sexually explicit content, or content that promotes obscenity, pedophilia, racism, bigotry, hatred or physical harm of any kind against any group or individual;
- harasses or advocates harassment of another person;
- involves the transmission of “junk mail”, “chain letters”, or unsolicited mass mailing or “spamming” or messages using Clickfix’s communication Platform;
- promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
- infringes upon or violates any third party’s rights including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person’s name, email address, physical address or phone number) or rights of publicity;
- promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
- contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
- provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone;
- provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
- contains video, photographs, or images of another person (with a minor or an adult);
- engages in commercial activities and/or sales without prior written consent such as contests, sweepstakes, barter, advertising and pyramid schemes, or the buying or selling of “virtual” products related to the Platform. Throughout this Terms, Clickfix's prior written consent means a communication coming from Clickfix's Legal Department, specifically in response to your request, and specifically addressing the activity or conduct for which you seek authorization;
- solicits gambling or engages in any gambling activity which, in sole discretion, believes is or could be construed as being illegal;
- interferes with another user’s use and enjoyment of the Platform or enjoyment of any similar Services;
- refers to any website or URL that, in sole discretion, contains material that is inappropriate for the Platform or any other website, contains content that would be prohibited or violates the letter or spirit of these Terms;
- harm minors in any way;
- infringes any patent, trademark, copyright or other proprietary rights or third party's trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen products;
- violates any law for the time being in force;
- deceives or misleads the addressee/ users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;
- impersonate another person;
- contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any trojan horses, worms, time bombs, cancel-bots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
- threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation;
- directly or indirectly, offers, attempts to offer, trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force;
- create liability for Clickfix or cause Clickfix to lose (in whole or in part) the Services of our internet service provider (“ISPs”) or other suppliers;
- is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person.
- User shall not make any defamatory or denigrating statement(s) about Clickfix, or our brand name or domain name used by Clickfix including the terms [Wondermart, wondermart.com] or otherwise act in any manner that might tarnish the reputation or standing, of Clickfix or Users on the Platform or otherwise tarnish or dilute any of Clickfix’s trademarks, service marks, trading name, or the goodwill associated with them.
- User shall at all times ensure full compliance with Applicable Laws.
- User shall not attempt to gain unauthorized access to any portion or feature of the Platform (such as profiles, blogs, communities, account information, bulletins, friend request etc.), or any other systems or networks connected to the Platform or to any server, computer, network, or to any of the Services offered on or through the Platform, by hacking, password “mining” or any other illegitimate means.
- Unless expressly permitted, User shall not probe, scan or test the vulnerability of the Platform or any network connected to the Platform nor breach the security or authentication measures on the Platform, or any network connected to the Platform. User shall not reverse look-up, trace or seek to trace any information on any other User of or visitor to Platform, or any other User, including any account on the Platform not owned by User, to its source, or exploit the Platform or any service or information made available or offered by or through the Platform, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than User’s own information, as provided for by the Platform.
- You agree to indemnify Clickfix, its affiliates, group company, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from or in connection with: (i) your submission, posting, listing or display of any User Content; (ii) from your use of the Platform or Services; (iii) from your breach of the Terms or breach of any Applicable Laws, including tax laws; (iv) any service availed by you from a third party service provider using any dispute inter-se Users; and/or (vi) your negligence or willful misconduct.

User shall at all times, adhere to our Code of Conduct available
here, while engaging with Clickfix and / or the Platform and
discharging its obligations under the Terms. Clickfix shall
retain the right to audit User to ensure compliance with our
Code of Conduct. Accordingly, you should ensure that:
- (a) You and your employees, sub-contractors, service providers, etc., shall comply with all applicable modern slavery and human trafficking laws in force;
- (b) you do not, whether directly or indirectly, use any forced/bonded labor or human trafficking in your organization and you do not require your employees, contractors, etc., to maintain monetary deposits or safekeep any identity documents as terms of their service with you;
- (c) you do not employ whether directly or indirectly, any child labor and all your employees are above the minimum legal age;
- (d) your employees are provided fair wages and are provided fair working conditions;
- (e) you are an equal opportunity employer and do not discriminate on grounds of gender, race, religion, caste, or any other socio- economic background;
- (f) you respect the employees’ right to freedom of association;
- (g) your employees have the right to leave the employment and are not continuing with the employment under coercion or duress; and
- (h) your employees have adequate grievance redressal mechanism to raise any concerns related to modern slavery.

TRANSACTIONS BETWEEN SELLER AND BUYER
- All Products listed on the Platform are offered for sale directly by independent Sellers. Clickfix acts solely as an online marketplace facilitating such transactions and does not own, sell, or control the Products listed. Sellers shall have sole responsibility over advertisements, listings, offers, and sale of their Products on the Platform.
- Upon delivery of the Products, the risk in the Products shall pass to the Buyer. The title to the Products shall transfer to the Buyer only upon receipt of full payment by the Seller. It is clarified that Clickfix shall not be liable for any loss, damage, or defect in the Products once delivered. Buyers acknowledge that they are transacting on the Platform at their own discretion and judgment.
- Buyers may return Products strictly in accordance with the Seller’s return policy and Clickfix’s applicable Policies, as available on the Platform.
- All orders placed by a Buyer on the Platform constitute a valid offer to purchase. Each order shall be subject to acceptance or rejection by the Seller, which shall be communicated through the Platform within such timelines as may be determined by the Seller. Upon acceptance, a distinct contract of sale shall arise directly between the Buyer and the Seller. Buyers will not be permitted to modify an Order once accepted by the Seller.
- Sellers reserve the right, at their sole discretion, to refuse or cancel any Order prior to dispatch of the Products. Buyers may cancel an Order before its acceptance by the Seller but not thereafter, except in accordance with the applicable return or cancellation policies.
- The price payable for the Products shall be the price displayed on the Platform at the time of placing the Order. The final invoice shall be issued by the Seller and shall be inclusive of all applicable taxes, duties, levies, and charges (including GST and local taxes) at the time of delivery.
- Sellers shall be solely responsible for raising invoices to Buyers in respect of Products sold by them through the Platform. Clickfix does not issue or control invoices for Products sold by Sellers.
- User agrees that Clickfix shall not be liable for any damages, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may occur/ arise as a result of or in connection with any risk related to transaction. User agrees to release and indemnify Clickfix (and our agents, group company, affiliates, employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with any transaction.
- Buyers acknowledge and agree that Clickfix is merely a facilitator of transactions between Buyers and Sellers on the Platform and does not manufacture, inspect, package, label, warrant, or sell any Products listed by Sellers. Accordingly, Clickfix shall not be responsible or liable for (a) the authenticity, quality, safety, merchantability, durability, fitness for purpose, legality, or performance of the Products, any representations, descriptions, specifications, warranties, guarantees, or commitments (express or implied) made by Sellers in relation to the Products.
- BUYER’S RESPONSIBILITIES, REPRESENTATIONS AND WARRANTIES
Buyers represent, warrant and agree that:
- You are an individual of legal age (18 years or older) and are fully competent to enter into a binding contract under the Indian Contract Act, 1872. In the event you are below 18 years of age, you are accessing and using the Platform only under the supervision and consent of your parent or legal guardian, who shall be deemed to be the registered user for the purposes of these Terms;
- You shall access and use the Platform, and purchase Products listed thereon, strictly for your personal, lawful, and non-commercial purposes only. You agree not to use the Products purchased for any resale, redistribution, or any activity inconsistent with personal consumption;
- All information and details provided by You during registration or thereafter (including but not limited to name, age, contact number, delivery address, billing information, payment details, and any other personal details) are true, accurate, current, and complete. You undertake to promptly update such information in the event of any change, and acknowledge that Clickfix shall not be liable for any delay, failed delivery, or loss arising due to incorrect or outdated information provided by You;
- You shall not, directly or indirectly, engage in any fraudulent, deceptive, abusive, disruptive, or unlawful conduct while accessing or using the Platform. Without prejudice to the generality of the foregoing, You agree not to (a) misuse promotional offers, discounts, or credits provided on the Platform, (b) abuse return, refund, exchange, or cancellation policies, including habitual or unreasonable returns, (c) use false identities, multiple accounts, or impersonate any person or entity, (d) make payments using unauthorized or fraudulent payment methods, (e) engage in any activity that may disrupt the functioning of the Platform or harm other users, Sellers, or Clickfix;
- You shall strictly abide by all Clickfix’s Policies, guidelines, and procedures, product reviews, promotions, and grievance redressal, as may be published and updated on the Platform from time to time; and
- You acknowledge and agree that the Products are offered and sold directly by independent Sellers on the Platform, and that Clickfix acts only as an intermediary marketplace facilitating such transactions. You further acknowledge that any representations, warranties, or guarantees relating to the Products are provided solely by the Seller, and that Clickfix shall not be liable in respect thereof, except to the extent expressly provided under Applicable Laws.
- SELLER’S RESPONSIBILITIES, REPRESENTATIONS AND WARRANTIES
Seller represent, warrant and agree that:
- You are a duly incorporated, registered, and lawfully existing business entity under the Applicable Laws of India, and are legally competent to accept these Terms and perform all obligations hereunder. You have obtained all necessary internal approvals, corporate authorizations, and statutory clearances (if applicable) to enter into this contractual arrangement with Clickfix and to sell Products to Buyers through the Platform
- You shall use the Platform strictly and exclusively for the purpose of listing, marketing, and selling Products to Buyers and for no other personal, unlawful, or unrelated activities. You acknowledge that Clickfix is a technology platform facilitating transactions between independent Sellers and Buyers, and that Clickfix does not itself own, sell, or control your Products;
- You acknowledge and agree that you are solely and exclusively responsible for obtaining, maintaining, and timely renewing, at Your own cost and expense, all requisite licenses, registrations, consents, approvals, and permits as may be required under Applicable Laws for the lawful manufacture, import, storage, handling, distribution, packaging, labelling, marketing, listing, sale, invoicing, taxation, and delivery of the Products on the Platform, including but not limiting to the Goods and Services Tax (GST) registration, trade license, Shops and Establishments registration, Importer-Exporter Code registration, Food Safety and Standards Authority of India (FSSAI) license, drug manufacturing and/or selling license under the Drugs and Cosmetics Act, 1940 (if applicable), Bureau of Indian Standards (BIS) certification or any other mandatory product certification, environmental clearances, local municipal permissions, labour law registrations (where applicable), and any other sector-specific licenses, statutory filings, or approvals as may be prescribed from time to time under Applicable Laws. You further undertake to furnish, upon request by Clickfix or any governmental authority, valid copies of such licenses, registrations, and approvals, and acknowledge that failure to obtain, maintain, or renew the same may result in suspension or termination of Your Seller account, withholding of payments, and/or legal consequences under Applicable Law;
- You shall, at all times, ensure that all Products offered, listed, marketed, advertised, sold, supplied, invoiced, and delivered through the Platform strictly comply with all Applicable Laws, rules, regulations, and notifications issued thereunder, as amended from time to time, expressly include, but are not limited to (i) the Consumer Protection Act, 2019 and allied rules, including those relating to unfair trade practices, warranties, refunds, replacements, returns, and e-commerce transactions, (ii) the Legal Metrology Act, 2009 and the Legal Metrology (Packaged Commodities) Rules, 2011, in relation to packaging, declarations, labelling, weights, and measures, (iii) the Food Safety and Standards Act, 2006 and all regulations, standards, and orders issued thereunder, if the Products constitute food, beverages, or nutraceuticals; (iv) the Goods and Services Tax (GST) Act, 2017 together with applicable indirect taxation laws, and compliance with invoicing, collection, and remittance obligations thereunder, and (v) the Consumer Protection (E-Commerce) Rules, 2020, including but not limited to obligations relating to transparency of disclosures, Seller liability, grievance redressal, record-keeping, and information display requirements. You further agree to comply with any additional sector-specific statutes, rules, or mandatory standards (including Bureau of Indian Standards certification or other product-specific regulations), as may be applicable to the Products offered by You, and acknowledge that failure to ensure such compliance may result in suspension or termination of Your Seller account, withholding of payments, delisting of Products, and/or legal action under Applicable Laws.
- All information, claims, descriptions, specifications, warranties, guarantees, labels, disclaimers, and representations made in respect of the Products are true, accurate, current, and not false, misleading, deceptive, or fraudulent in any manner. You undertake that no Product listed on the Platform shall be counterfeit, expired, prohibited, recalled, stolen, or otherwise unlawful.
- Any material, content, or information You provide on the Platform (including but not limited to listings, advertisements, images, product descriptions, or videos) shall not infringe or violate any third-party rights, including intellectual property, privacy, or publicity rights. You undertake full responsibility and liability for any claims, damages, or proceedings arising from any such infringement or violation;
- You shall be solely and fully responsible for the quality, safety, merchantability, suitability, legality, conformity with standards, packaging, labelling, delivery, warranty, and after-sales services relating to your Products. Clickfix shall not be liable for any defect, deficiency, or non-compliance in respect of your Products;
- All business-related information provided by You at the time of registration and thereafter (including GSTIN, PAN, registered address, compliance certificates, licenses, and tax information) shall be true, complete, current, and accurate. You undertake to promptly update such information if there are any changes
- You agree to promptly provide any additional documents, certifications, authorizations, or clarifications as may be reasonably requested by Clickfix, any governmental authority, or as required under Applicable Laws. You acknowledge that failure to provide such documents or information within the prescribed timelines may result in suspension, withholding of payments, or termination of your Seller account;
- You consent to the storage, disclosure, and use of your business and contact information by Clickfix in accordance with its Privacy Policy. You agree that Clickfix may use, process, or disclose such information (including to Buyers, governmental authorities, or third-party service providers) as may be necessary for the facilitation of transactions, compliance with Applicable Laws, or protection of its legitimate interests; and
- You shall indemnify, defend, and hold harmless Clickfix, its affiliates, employees, and representatives from and against any and all claims, liabilities, damages, penalties, costs, or expenses arising out of (a) any breach by You of these Terms, (b) any non-compliance with Applicable Laws, (c) any defective, deficient, counterfeit, expired, misbranded, or unsafe Products, or (d) any infringement of third-party rights.

BREACHES AND SUSPENSION
- If any Buyer or Seller (each, a “User”) breaches these Terms, or if Clickfix has reasonable grounds to believe that a User is in breach of these Terms, is likely to expose Clickfix, or its group company, or its affiliates to any legal, regulatory, financial, or reputational liability, or is otherwise engaged in conduct that is unlawful, fraudulent, harmful, deceptive, abusive, or inappropriate in Clickfix’s sole opinion, Clickfix shall have the absolute right to take such corrective or disciplinary actions as it deems necessary or appropriate, including, without limitation:
- suspending, restricting, or permanently terminating the User’s account and any linked or associated accounts, at Clickfix’s discretion;
- restricting, blocking, or terminating the User’s access to some or all of the Services on the Platform, including the ability to purchase, list, advertise, or sell Products;
- removing, disabling, or delisting any Product listings, advertisements, promotional offers, reviews, feedback, or other content posted by the User;
- withholding, freezing, or forfeiting settlement of payments due to a Seller or initiating refund of payments to a Buyer, as applicable; and

imposing such other penalties, corrective measures, or remedies as
Clickfix may deem fit in its sole discretion, including permanent
blacklisting of the User from the Platform.
- Clickfix does not undertake any obligation to pre-screen or proactively monitor content uploaded, listed, advertised, or posted by Users on the Platform. However, Clickfix may, at its discretion and/or in compliance with Applicable Laws, review, monitor, remove, disable, or take down any content, information, or Product listing without prior notice if it reasonably determines that such content or listing (a) is false, misleading, deceptive, or fraudulent, (b) violates any Applicable Laws, third-party rights, or intellectual property rights of Clickfix or anu third-party, (c) is obscene, harmful, abusive, or otherwise inappropriate, or (d) contravenes these Terms. Any such action shall be without liability on the part of Clickfix.
- In the event that a User’s account remains inactive, dormant, or reflects no transaction activity for a prolonged period, Clickfix reserves the right, in its sole discretion, to deactivate, suspend, or permanently terminate such account, with or without notice to the User.
- Clickfix reserves the right to cooperate fully with governmental authorities, regulators, law enforcement agencies, courts, private investigators, or injured third parties in the investigation of any suspected criminal, civil, or regulatory wrongdoing. In furtherance of such cooperation, Clickfix may disclose a User’s identity, registration information, account details, transaction history, communications, and/or contact information, if lawfully required or requested by such authorities, or pursuant to subpoenas, court orders, regulatory directives, or other valid legal processes.
- If Clickfix becomes aware, or reasonably believes, that any Seller has listed, marketed, or sold Products, or that any Buyer has purchased or used the Platform, in violation of Applicable Laws (including but not limited to consumer protection, taxation, e-commerce, or product safety laws), or if the Platform is misused by any User for unlawful, fraudulent, abusive, harmful, or deceptive purposes, Clickfix shall have the right, in its sole discretion and without prior intimation to the User, to immediately suspend or terminate the User’s account, remove or disable the offending Products or content, and/or take such other civil, contractual, or legal actions as Clickfix may deem necessary or appropriate.

PAYMENTS BY BUYERS
- At the time of placing an Order on the Platform, Buyers may choose from the payment methods made available by Clickfix from time to time (including debit/credit cards, net banking, UPI, digital wallets, or cash on delivery, if available). Where payment is made through a third-party service provider, Clickfix and/or such third party shall act only in a limited fiduciary capacity to facilitate the transaction between the Buyer and the Seller.
- Clickfix may, in its sole discretion, require Buyers to pay a token or advance amount equivalent to a percentage of the Order value (“Token Amount”). The Token Amount shall not exceed the total transaction amount and shall be adjusted against the final payment for the delivered Order. If the Buyer cancels the Order after the Order has been marked as “ready to ship,” or if the Order is undeliverable under the Undelivered Shipment Policy, Clickfix may either (a) deduct a Cancellation Penalty Fee and refund the balance Token Amount to the Buyer; or (b) forfeit the entire Token Amount as a Cancellation Penalty Fee. Clickfix’s decision in this regard shall be final and binding.
- The Buyer acknowledges that payments for Products are made directly to the Seller. Clickfix merely facilitates such payments as a payment aggregator and assumes no liability for the legality or validity of the transaction. Clickfix shall not be responsible for verifying the accuracy of any payment instructions provided by the Buyer..
- For enabling payment facility for the Buyer using a credit card, Clickfix may charge a convenience fee (including GST) from the Buyer. Such convenience fee (including GST) shall be visible on the payment page at the time of checkout and the convenience fee so charged shall be subject to change at Clickfix’s sole discretion without any further notice. Such convenience fee charged is non-refundable under any circumstances.
- Buyers must ensure that payments are made only through valid, authorised instruments. Use of invalid, fraudulent, or unauthorised instruments shall entitle Clickfix to suspend or terminate the Buyer’s account and take further legal or remedial actions as it deems necessary:
- Payments received from Buyers will be transmitted to Sellers in accordance with the Seller Terms and the settlement process outlined therein. Buyers agree that Clickfix’s role is limited to facilitating payment collection and settlement and shall not raise disputes with respect to such settlement.
- In case the Buyer chooses to make the payments to Clickfix via post-dated cheques (if applicable), the Buyer shall ensure that such post-dated cheques are duly filled and are in the name of Clickfix. If such post-dated cheques are returned to the Buyer due to incorrect information including but not limited to incorrect amount or incorrect date mentioned on the cheque or any other reason whatsoever, in such cases, the Buyer, upon our request, shall replace such post-dated cheques with duly filled new post-dated cheques or make the payment in such other mode as may be communicated to the Buyer, as per the discretion of Clickfix. It is further clarified that in case the Buyer on our request, fails to replace the post-dated cheques with duly filled new post-dated cheques or fails to make the payment in a timely manner, Clickfix shall reserve the right to take legal action against the Buyer. Further, Clickfix shall have the right in its sole discretion, without intimation to the User, to take action such as but not limited to suspending or terminating the User’s account and any and all accounts determined to be relation to such account. The Buyer shall fully indemnify Clickfix against all claims, actions, proceedings and demands including any suits, claims, disputes or such differences that are brought against Clickfix for such failure.
- Buyers agree to comply with all applicable laws and guidelines issued by Clickfix, banks, financial institutions, and payment system providers in relation to payments on the Platform.
- Clickfix shall not be liable for failed or incomplete transactions, including where the Seller defaults in service, Products are defective, or due to technical issues. Buyers acknowledge that any loss or damage from such failed transactions shall not be attributed to Clickfix..
- You hereby acknowledge and agree that Clickfix shall not be liable for failed or incomplete transactions undertaken on Platform for any reason whatsoever including but not limited to (a) your bank account did not contain sufficient funds to complete the transaction, (b) you have not provided the Clickfix with correct Payment Details, (c) your payment card has expired, (d) the Seller defaults in service, (e) Products are defective, or (f) circumstances beyond the Clickfix’s reasonable control (such as power outages, interruptions of cellular service, any technical error or any other interferences from an outside force) which prevent the execution of the transaction.
- Buyers shall comply with applicable tax, payment, and anti-money laundering regulations, including restrictions on cash transactions, as per Applicable Law.
- Any refunds shall be subject to the Shipment Policy, and Undelivered Shipment Policy. Refunds shall be processed in the same manner as they are received. Refund amount will reflect in the Buyer’s bank account based on respective banks policies.
- If you avail service from any third party service provider using the Platform, upon receipt of instruction from such third party service provider, you agree and authorise us to remit and settle such collected payments (after deduction of our fees (if any) and any other charges or taxes applicable under tax laws) to the designated bank account of the third party service provider within such timelines as mentioned in the settlement process. You agree and acknowledge that no separate authorisation will be required by us to collect and transfer payment to such third-party service provider.
- Clickfix shall not be responsible for any unauthorised transactions conducted on the Platform using Your Payment Details. Clickfix shall not be obligated to refund any money to You in such instances.

LOGISTICS AND DELIVERY SERVICES
- We may, at our sole discretion, engage third-party logistics service providers (“Logistics Partners”) to provide shipping, delivery, and related logistics services for Products purchased on the Platform. For the avoidance of doubt, where collection of payments is involved (including Cash on Delivery), such third party shall act solely in a fiduciary capacity for the purpose of collecting payment from the Buyer.
- Upon confirmation of an Order, we or our Logistics Partners will pick up the Products from the Seller’s location and deliver them to the delivery address provided by the Buyer at the time of placing the Order. Title and risk in the Products shall pass to the Buyer upon delivery to the designated delivery address.
- We and/or our Logistics Partners will use reasonable efforts to deliver the Products to the Buyer or the designated recipient as specified in the Order. We may, in our sole discretion, obtain an acknowledgement of delivery (such as an OTP, signature, or other proof of receipt) but shall not be obliged to verify the identity of the recipient at the delivery address. By placing an Order, the Buyer authorises us to contact them through calls, SMS, WhatsApp, or any other communication channel for delivery updates, confirmations, or related transactional purposes.
- If the Buyer opts for “Cash on Delivery,” we or our Logistics Partners will collect the Order amount at the time of delivery. Any amounts so collected (or prepaid by the Buyer) shall be settled with the Seller in accordance with the this Terms. Where such payments are collected by a Logistics Partner, such third party shall act solely in a fiduciary capacity for such collection.
- Products classified as hazardous, restricted, or otherwise prohibited under applicable laws or regulations (including airline/railway/transport rules) shall not be accepted for delivery.
- Orders with incomplete, inaccurate, or unverifiable addresses (including P.O. Box numbers) may be rejected or cancelled by us.
- We or our Logistics Partners reserve the right to weigh, measure, or verify the contents of any shipment. Any discrepancy in declared weight, size, or other details may result in additional charges to the Seller. Our determination in this regard shall be final.
- We shall not be liable for any loss, delay, or non-delivery caused due to confiscation, seizure, or detention of shipments by any governmental authority for lack of proper documentation, regulatory non-compliance, or misinformation provided by the Seller or Buyer.
- Buyers and Sellers are required to treat our delivery personnel and Logistics Partners with courtesy and respect. Any misconduct, including verbal or physical abuse, harassment, or unprofessional behaviour, will be treated as a violation of these Terms and may result in suspension or termination of account access.
- Shipments shall be delivered on an “as is” basis. Unless explicitly agreed otherwise, we shall not be obliged to inspect or verify the contents of any shipment. However, we reserve the right, at our discretion and without prior notice, to inspect shipments for compliance with these Terms and applicable laws.
- We do not provide “open box delivery” unless explicitly offered as part of a specific product or category.
- While we endeavour to ensure timely deliveries, delivery timelines may be impacted by factors beyond our reasonable control, including force majeure events, logistical constraints, or unforeseen delays.
- If, in our reasonable opinion, delivery is or is likely to be hindered or delayed due to risks, safety concerns, or other unavoidable circumstances, we may place the Products at an alternate safe location or reschedule delivery. Any additional charges incurred in this regard may be applied to the Buyer or Seller, as the case may be.
- If a Buyer opts to use shipping or delivery services directly provided by a Seller (i.e., outside of our Logistics Partners), such arrangement shall be solely between the Buyer and the Seller. We disclaim all responsibility and liability for such deliveries.
- UNDELIVERED SHIPMENT
You acknowledge that a delivery failure may occur for various reasons, as set out under the Undelivered Shipment Policy. In relation to the Undelivered Shipments (as defined under the Undelivered Shipment Policy), you agree to be bound by the provisions of the Undelivered Shipment Policy which can be accessed
- WARRANTY AND LIABILITY
The Buyer must inspect the Products upon delivery and report any defects or non-conformance immediately. If Clickfix determines that the issue cannot be resolved, the Buyer may return the affected Products, subject to Clickfix’s approval and return policies.
We do not provide any warranties, whether express or implied, including but not limited to warranties of merchantability, quality, fitness for a particular purpose, or durability. To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or purchase of the Products.
You acknowledge that a delivery failure may occur for various reasons, as set out under the Undelivered Shipment Policy. In relation to the Undelivered Shipments (as defined under the Undelivered Shipment Policy), you agree to be bound by the provisions of the Undelivered Shipment Policy which can be accessed .
- RETURNS
In case of any Return Request (as defined under the Return Shipment Policy), Buyer agree to be bound by the provisions of the Return Shipment Policy which can be accessed .
- LIEN
We shall have a general and particular lien on the goods and other contents of Shipments and all documents relating thereto in an event of the default by Buyer in the payment of sums of whatever nature due and payable by Buyer to us including, without limitation, charge for attending, co-operating, reporting, fumigating, devanning, restoring, storing or reconditioning and/or all expenses incurred for the benefit or protection of the Shipments, and also for any payments, duties, fines or other expenses including but not limited to interest and legal costs and expenses, due at any time to us from Buyer. If any amount due and payable by Buyer to us is not paid, upon the giving of fifteen (15) calendar days prior written notice, we may, at our absolute discretion and without notice, suspend or cease providing all or any part of the Logistics Services without any liability whatsoever to Buyer or any third party and, at our absolute discretion, may proceed to sell the Shipments in the manner which we may deem fit. Our rights are reserved for any shortfall subsequent to the disposal of the Shipments
- FEES AND CHARGES APPLICABLE TO BUYERS
- We will charge the Buyer for providing Logistics Services and unless otherwise stated, all such charges shall be exclusive of Goods and Service Tax. The charges payable for availing the Logistics Services will be displayed in the Rate Card section of the Platform and the same may be modified or amended, from time to time, solely in our discretion without any notice thereof. It shall be Buyer’s duty to routinely check on such charges. In the event the Buyer continues to avail the Logistics Services from us, it shall be deemed that the Buyer agrees to such change in charges.
- Any taxes, duties, or levies applicable on entry or any other charges levied by any central/state/local authorities wherever applicable shall be extra and Buyer will be liable to pay the same.
- The charges shall be subject to applicable taxes, as per prevailing applicable laws. Buyer shall deduct income tax as applicable against the amounts payable to Clickfix if required by applicable law, except to the extent where Clickfix submits a nil/reduced withholding certificate. Buyer shall remit the withholding taxes to the relevant tax authorities and enable Clickfix to claim a tax credit by providing an appropriate and timely certificate of withholding as stipulated under the applicable law.
- For any additional services availed by the Buyer from Clickfix, Clickfix will charge additional charges for any such additional services. Clickfix may enter into a separate bi-partite contractual arrangement with the Buyer for provisioning of such additional services to the Buyer. Clickfix reserves its right to levy penalty or late payment charges in case of delay by the Buyer in clearing any dues payable to Clickfix.

SERVICES APPLICABLE TO SELLERS
- Standard Platform Services
- Seller is allowed to list Products(s) for sale on the Platform subject to Seller’s compliance with these Terms. Seller must be legally able to sell the Products(s) it list for sale on the Platform.
- Seller must ensure that the listed product(s) do not infringe upon the intellectual property, trade secret or other proprietary rights or rights of publicity or privacy rights of third parties. Listings may only include text descriptions, graphics and pictures that describe your product for sale.
- All listed product(s) must be listed in an appropriate category on the Platform. All listed Products must be kept in stock for successful fulfilment of sales. Seller agree to adhere to the listing guidelines that may be communicated to Seller by Clickfix, from time to time.
- The listing description of the product must not be misleading and must describe actual details and condition of the product. If the product description does not match the actual condition of the product, Seller agree to refund any amounts that you may have received from the Buyer.

Seller represent, warrant and agree that Seller will avail the
Services of the Platform only for the business and commercial
purposes and will not use the Platform for availing and
products/services for personal use or consumption.
- Standard
- Clickfix may, at its discretion, provide warehousing, handling, and storage facilities to the Seller for Products listed and sold on the Platform. For this purpose, Clickfix may engage third-party service providers, logistics partners, agents, or subcontractors. Notwithstanding such engagement, Clickfix shall remain responsible for ensuring that the services are performed in a professional and commercially reasonable manner.
- Clickfix shall take reasonable care and adopt commercially acceptable measures to safeguard Products stored in its warehouses against risks such as theft, pilferage, fire, loss, or damage. Sellers hereby authorize Clickfix and/or its service providers to obtain and maintain insurance coverage for Products stored in warehouses and to take necessary steps, including filing and processing claims, in case of any loss or damage to the Products.
- Products handed over for storage must be in good, saleable condition, free from defects, properly packaged, labelled, and compliant with Clickfix’s warehousing and packaging standards. Clickfix reserves the right to inspect Products at the time of inwarding and to reject, refuse storage, or return Products that are damaged, defective, hazardous, improperly packaged, expired, non-compliant with legal or regulatory requirements, or otherwise unsuitable for storage. Such rejected Products shall be returned to the Seller.
- Upon receipt of an Order through the Platform, the Seller expressly authorizes Clickfix to undertake all necessary administrative tasks required for Order processing, including but not limited to printing invoices, shipping labels, and dispatch documentation. The Seller shall, however, remain solely responsible for compliance with applicable invoicing, tax, and consumer protection laws, and for ensuring accuracy and correctness of the invoices and product details.
- All Products must be packaged, labelled, and stored in accordance with applicable laws, industry standards, and Clickfix’s requirements. Sellers represent and warrant that they have valid title, authority, and all requisite approvals to store, list, and sell such Products. Further, Products that are illegal, counterfeit, hazardous, restricted, or otherwise prohibited under applicable law or Clickfix policies shall not be handed over for storage.
- Sellers shall be solely responsible for obtaining, maintaining, and renewing all necessary licenses, permits, consents, and registrations (including GST registration, FSSAI license, drug sale license, trade license, and any other applicable approvals) required for the lawful storage, marketing, sale, and delivery of Products. Sellers shall also be liable for payment of all applicable duties, levies, and taxes. In case Clickfix pays such duties or taxes on behalf of the Seller, Clickfix shall be entitled to recover the same from the Seller.
- All Products stored in Clickfix warehouses shall remain the property of the Seller until delivered to Buyers. Clickfix shall not acquire any title to or ownership in the Products, except to the extent necessary to exercise its lien under these terms. Sellers may, with prior intimation and subject to reasonable operational restrictions, access warehouses to verify the condition and stock of their Products.
- In the event of non-payment of dues or charges by the Seller, Clickfix shall have a general lien over the Products stored in its warehouses. Clickfix may suspend services, restrict access, or after giving reasonable prior notice, return, dispose of, or liquidate the Products to recover its outstanding dues.
- Clickfix reserves the right, but not the obligation, to inspect or verify Products stored in its warehouses at any time in order to ensure compliance with applicable laws, safety standards, and Platform policies.
- Products returned as undelivered shall be inspected. If found undamaged, such Products will be re-stocked in the warehouse. If damaged due to Clickfix’s fault, Clickfix shall reimburse the Seller; if not attributable to Clickfix, the Products shall be returned to the Seller.
- Sellers shall be solely responsible for initiating and managing product recalls arising due to regulatory directions, quality issues, safety concerns, or any other non-compliance. Sellers shall bear all costs and liabilities associated with such recalls and shall fully cooperate with Clickfix in communicating with Buyers and regulators.
- Clickfix may, at its discretion, return unsold, slow-moving, expired, or recalled Products to the Seller. Sellers may also recall their Products from warehouses at any time, subject to operational timelines and payment of applicable charges.

Sellers may discontinue warehousing services by providing at least
30 (thirty) days’ prior written notice to Clickfix. Clickfix
may, by written notice, suspend or terminate warehousing services in
the event of (i) Seller default in payment, (ii) storage or sale of
counterfeit, prohibited, or unlawful Products, (iii) violation of
applicable laws or Platform policies, or (iv) any other justifiable
business or operational reason. If the Seller fails to collect
Products from Clickfix’s warehouses within the stipulated
period after termination of services or notice by Clickfix, Clickfix
shall have the right to dispose of, liquidate, or destroy such
Products in accordance with its internal policies, without any
liability to the Seller.
- Payment
- Clickfix shall provide payment collection and settlement services (“Payment and Settlement Services”) to Sellers for transactions carried out on the Platform. In providing such services, Clickfix acts only as a payment collection agent on behalf of the Seller and assumes no responsibility for the legality of any transaction between the Seller and the Buyer.
- Where the Buyer makes online payments at the time of placing the order with the Seller or prior to the delivery of the Consignment, such payments shall be transmitted to the designated bank account of the Seller (or third party based on the instructions given the Seller (if applicable)) within ‘T+1’ bank working days. For the avoidance of doubt, it is clarified that ‘T+1’ shall be the maximum period within which the settlement for such transaction shall be effected. For the purposes of these Terms, herein ‘T’ shall stand for the date of expiry of the refund period applicable in relation to the order. ‘T’ shall be calculated in the following manner:

- Clickfix may withhold or delay settlement of payments to the Seller in case of Buyer returns, disputes, chargebacks, suspected fraudulent transactions, or any regulatory or legal requirement, until resolution of the same.
- Seller shall be responsible for providing accurate GST registration details, HSN codes, and applicable GST rates for Products listed on the Platform. lickfix shall deduct and/or collect such taxes (including TCS under GST and TDS under the Income Tax Act, 1961) as required by Applicable Laws and shall provide necessary certificates in support of such deductions/collections. Any liability, penalty, or loss arising from incorrect, incomplete, or false disclosures by the Seller shall be borne solely by the Seller, and the Seller shall indemnify Clickfix in this regard
- Clickfix shall be entitled to recover or adjust any amounts due to it from the Seller on account of (a) Buyer chargebacks or disputes, Penalties or charges levied by banks, payment service providers, or regulators due to excessive failures, disputes, or chargebacks, or (c) any other sums payable by the Seller to Clickfix under these Terms.

Seller shall at all times comply with all Applicable Laws relating
to invoicing, taxation, and cash transactions. Clickfix may suspend
or withhold settlement of payments in case of suspected illegal,
fraudulent, or non-compliant transactions until resolution.
- Advertisement
- Seller may subscribe to the ad program (“Program”) offered by Clickfix to promote its Products that it lists and offers for sale on the Platform. Clickfix will facilitate in the display of such advertisement (“Ad”) of the Seller on the Platform upon receipt of a written request from the Seller.
- The intellectual property rights in the Ad provided by the Seller on the Platform hereunder shall vest solely with the Seller. Seller shall ensure that it has all requisite rights, permits, authorizations, title, and/ or interest over the Ad and is compliant with the branding guidelines and laws that may be applicable to use and display the Ad on the Platform. The Seller hereby grants to Clickfix an unrestricted, non-exclusive, royalty-free license to use the Ad and all other information provided by the Seller on the Platform. Clickfix will display the Ad provided by the Seller on the Platform or otherwise made available by Seller to Clickfix for the purposes set out herein on an ‘as is’ basis (except for formatting changes limited to re-sizing the Ad). Seller shall at all times remain fully liable and responsible for the Ad and further agrees to indemnify, defend, and hold harmless Clickfix from and against any claims that may arise from or in connection to such Ad with regard to the content of the Ad, any intellectual property claim or third party.
- Clickfix further disclaims all liability for any Ad, content of the Ad, availability of the product or any related information that may be displayed or made available by the Seller, quality, delivery, or usefulness of the Products that are offered for sale by the Seller on the Platform. The Seller agrees that Seller disclaims all liabilities and shall not be party to any dispute in this regard.
- DATA PROTECTION
Personal information supplied by User(s) during the use of the Platform is governed by Clickfix’s privacy policy which can found .

LIMITATION OF LIABILITY AND INDEMNITY
- To the maximum extent permitted by law, the Services provided by Clickfix on or through the Platform are provided “as is”, “as available” and “with all faults”, and Clickfix hereby expressly disclaims any and all warranties, express or implied, including but not limited to, any warranties of condition, quality, durability, performance, accuracy, reliability, merchantability or fitness for a particular purpose. All such warranties, representations, conditions, and undertakings are hereby excluded.
- Clickfix procures Products from third-party vendors and offers them on the Platform. Clickfix has endeavored to ensure that all the information on the Platform is accurate. However, CLickfix makes no representations or warranties about the validity, accuracy, correctness, reliability, quality, stability, completeness or accurateness of any information provided on or through the Platform; CLickfix does not represent or warrant that the manufacture, importation, export, distribution, offer, display, purchase and/or use of Products or Services offered or displayed on the Platform does not violate any third party rights; and CLickfix makes no representations or warranties of any kind concerning any product or service offered or displayed on the Platform. Except as provided herein, to the fullest extent permissible by Applicable Law, the aggregate liability of Clickfix for any claims that may arise in connection with these Terms shall not exceed an amount of INR 1000/-.
- Under no circumstances will Clickfix be liable for any consequential, incidental, special, exemplary or punitive damages, including but not limited to any lost profits that result from your purchase of any products on platform or any services availed, even if Clickfix has been advised of the possibility of such damages.
- FORCE MAJEURE
Under no circumstances shall Clickfix be held liable for any losses, delay or failure or disruption of the Platform Content or Services delivered through the Platform resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, epidemics, pandemics, curfews, lock-down, orders of domestic or foreign courts or tribunals or non-performance of third parties.

INTELLECTUAL PROPERTY RIGHTS
- Clickfix is the sole owner or lawful licensee of all the rights and interests in the Platform and the Platform Content. All title, ownership and intellectual property rights in the Platform and Platform Content shall remain with Clickfic or licensors of the Platform Content, as the case may be. All rights not otherwise claimed under the Terms or by Clickfix are hereby reserved.
- “Wondermart” and any other related icons and logos are registered trademarks of Clickfix, in various jurisdictions and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.
- Clickfix may, at its sole discretion, permit the User(s) of the Platform, in writing, to use “Wondermart” and any other related icons and logos for indicative purposes in the form and manner and terms and conditions as maybe agreed by Clickfix.
- You shall be solely responsible for User Content posted or transmitted on the Platform and shall indemnify Clickfix against any claim or liability arising from any User Content or information posted or transmitted by You on the Platform.
- You grant us non-exclusive, worldwide, perpetual, royalty free and transferable license to use, modify, adapt, enhance, refine, transform, and create derivative works of such User Content, including but not limited to the use of generative AI technologies, tools, or services. This license includes, but is not limited to, the right to use, modify, enhance, or create derivative works of the User Content for any purpose, including, without limitation, promotional, advertising, and marketing purposes, across any media, whether now known or hereafter devised. We shall be entitled to use the User Content, consistent with our Privacy Policy and these Terms as adopted in accordance with Applicable Laws. You are not entitled to any payment or compensation for such usage.
- You agree to be bound by and comply with the Anti-Counterfeiting Policy.
- We respect the intellectual property of others. In case you feel that your trademark has been infringed, or your work has been copied in any way that constitutes copyright infringement, you can communicate the same to Clickfix on details provided in Paragraph 25 ‘Grievance Mechanism’.

NOTICES
- All legal notices or demands to or upon Clickfix shall be made in writing and sent to Clickfix personally, by courier, certified mail, or facsimile to the following entity and address: Clickfix Cash and Carry Private Limited, 1st Floor of South Wing “TWA - SJR - The Hub” situated at Survey Number 8, 2 & 9, Sarjapur Main Road, Sarjapur - Marathahalli Road, Bellandur, Bengaluru, Karnataka PIN- 560102, India, Attn: Legal Department. The notices shall be effective when they are received by Clickfix in any of the above-mentioned manner.
- All legal notices or demands to or upon a User shall be effective if either delivered personally, sent by courier, certified mail, by facsimile or email to the last-known correspondence, fax or email address provided by the User to Clickfix, or SMS, WhatsApp messages, or in-app notifications, or by posting such notice or demand on an area of the Platform that is publicly accessible without a charge or through such other mode of communication as Clickfix may deem fit in its discretion. Notice to a User shall be deemed to be received by such User if and when, a) Clickfix is able to demonstrate that communication, whether in physical or electronic form, has been sent to such User, or b) immediately upon Clickfix posting such notice on an area of the Platform that is accessible by the User or publicly accessible without charge.

MISCELLANEOUS PROVISIONS
- Unless otherwise communicated to you by Clickfix, the Terms constitute the entire agreement between User and Clickfix and govern the User’s use of the Platform and any of the Services. The Terms shall supersede any prior written or oral agreements that you may have had in relation to the use of the Platform and any of the Services.
- Unless stated otherwise, we will be your one stop solution for all the services (except credit) on the Platform with effect from 00:00 hours on 7th April 2025 (“Cut-Off Date”), and any new transactions on the Platform shall be governed by these Terms. It is clarified that, any transaction made by you on the Platform before the Cut-Off Date shall be governed by your arrangements with the relevant parties (i.e., third party service providers) as existing prior to the Cut Off Date. - Clickfix and User are independent contractors, and no agency, partnership, joint venture, employee-employer relationship is intended or created by the Terms. The relationship between you and us is one of independent contractors, and nothing contained in these Terms will be construed to (a) give either party the power to direct and control the day-to-day activities of the other, (b) constitute the parties as partners, joint ventures, co-owners or otherwise as participants in a joint or common undertaking, or (c) allow you to create or assume any obligation on our behalf for any purpose whatsoever.
- If any provision of the Terms is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions shall remain valid and be enforced.
- Clickfix’s failure to enforce any right or failure to act with respect to any breach by User under the Terms will not constitute a waiver of that right nor a waiver of Clickfix’s right to act with respect to subsequent or similar breaches.
- Clickfix shall have the right to assign the Terms (including all of our rights, titles, benefits, interests, and obligations and duties in the Terms to any person or entity (including any affiliates of Clickfix). User may not assign, in whole or part, the Terms to any third party or person.
- The Terms shall be governed by the laws of India and the parties to the Terms agree to submit to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

GRIEVANCE MECHANISM
- The User may submit any grievance with respect to the Platform or the Services, including with respect to any abuse on the Platform and/or any discrepancies or grievances with respect to processing of information to the Grievance Officer at the contact details mentioned below. We will endeavor to resolve your grievances and concerns within timelines as mentioned under Applicable Laws.
